Welcome to Sparkle Studio (sparklestudio.co.in). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", or "Vendor") and Sparkle Studio Private Limited ("Company", "we", "us", or "our"), governing your access to and use of our website, dynamic WebGLⓘ 3D design workspace, and generative neural customizer pipelines. By registering a profile, accessing our tools, or listing a vendor catalog, you represent that you have read, understood, and agree to be bound by these Terms.

To unlock Pro or Business features, you must create a registered account. You agree to provide truthful, accurate, and complete registration metadata (such as verified emails and contact numbers) and maintain its accuracy. You are solely responsible for securing your account passwords, API tokens, and session cookiesⓘ. Any operations, configurations, or financial charges initiated under your credentials will be deemed your direct representation. We reserve the right to suspend accounts with fraudulent details.

Our platform utilizes proprietary generative neural pipelines and WebGLⓘ meshes to let users customize jewelry designs. (a) Input Prompts: You represent that any text prompts, images, or configuration data you upload do not infringe on any third-party copyright, trademark, or proprietary design rights. (b) Render Ownership: You own all right, title, and interest in and to the custom image renders, prompts, and specific design settings generated using our neural engine. (c) License to Company: By generating designs on the platform, you grant Sparkle Studio a non-exclusive, worldwide, royalty-free, sublicensable license to host, cache, render, translate, and display your designs for the purpose of operating the website, generating previews, and compiling orders. (d) Assets Retention: We store generated rendering history according to our system storage policies and make no guarantees of permanent asset preservation.

Except for user-owned design renders, all assets on the platform—including but not limited to source code, databases, WebGLⓘ interactive meshes, UI designs, brand logos, custom vector icons, fonts, and graphics—are the exclusive property of Sparkle Studio Private Limited or its licensors. You are granted a limited, personal, non-transferable, revocable license to access the platform. You may not scrape, frame, decompile, reverse-engineer, or distribute any part of our platform assets without explicit written consent.

Pro Designer and Bespoke Business tiers operate on a recurring monthly billing cycle. (a) Processing: Payments are securely processed through PCI-DSS compliant gateways, namely Razorpayⓘ and Stripeⓘ. The Company does not store raw credit card numbers, CVVs, or internet banking credentials on its servers. (b) GSTⓘ & Fees: For users in India, applicable Goods and Services Tax (GSTⓘ) will be charged on subscriptions. You are responsible for providing correct GSTIN credentials during business registration. (c) Automatic Renewal: Subscriptions automatically renew unless cancelled in your Account Billing dashboard prior to the next cycle.

You agree not to: (a) abuse or overload our neural customizer servers via automated scripts; (b) bypass rate limits or authentication tokens; (c) scrape or download proprietary WebGLⓘ 3D meshes; (d) submit prompt text or image assets that contain malware, explicit content, or hate speech. We reserves the right to immediately terminate or suspend your account, without prior notice, for conduct that violates these provisions or is otherwise deemed harmful to our platform operations.

The interactive 3D WebGLⓘ meshes and neural image renders are visual simulations designed to check styling, material combinations, and layout. Physical parameters (such as actual metal finish luster or gemstone fire) may vary slightly from computer screen representations. The company does not guarantee that physical jewelry manufactured by independent vendors will precisely replicate digital simulator rendering. To the maximum extent permitted by law, Sparkle Studio Private Limited shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our platform.

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India (including the Madras High Court).
